INFICON Shareholders Approve Dividend Payment and Capital Reduction at Annual General Meeting

Zurich/Switzerland and Syracuse, New York—May 4, 2006 — INFICON (SWX Swiss Exchange: IFCN) today announced that its shareholders, voting at the company's Annual General Meeting in Zürich, Switzerland, approved a capital reduction by reducing the nominal value of INFICON registered shares from CHF 10.00 to CHF 5.00. The repayment of the par value is planned for July 31, 2006.

 

INFICON's shareholders also agreed to a resolution for the distribution of a gross dividend of CHF 5.00 per registered share for the business year 2005 with an ex-dividend date of May 9, 2006.

 

In further business, INFICON shareholders approved an increase of the Conditional Share Capital to a maximum aggregate amount of CHF 1.3 million through the issuance of a maximum of 260,000 registered shares. The Conditional Share Capital of the company had been a maximum aggregate amount of CHF 479,630 through the issuance of a maximum of 95,926 registered shares.

 

All other resolutions put before INFICON's shareholders were approved, including the re-election to the board of directors of Richard Fischer, Mario Fontana and Paul Otth for a three-year term.
